In order to conduct national registration of legal entity documents the following information is required:

• variants of name of a legal entity to be established;
• location of a legal entity;
• authorized capital (stock) amount and creation procedure;
• distribution of authorized capital among founders of a legal entity;
• main activities of a legal entity;
• name of a bank with which current accounts of a legal company have been opened;
• whether a seal of additional protection level is required;
• whether additional stamps are required;
• contact telephone number of a legal entity to be specified in documents;
• quality photocopies of passports and identification number certificates of all founders (participants) and a manager of a legal entity;
• the chosen taxation system (general or simplified, VAT payer or non-Vat payer).

In order to conduct incorporation of economic activity of a natural person quality photocopies of passport and identification number certificate are required.

Where a legal entity founder is a resident of Ukraine the following requirements apply:

A legal entity (founder) should submit notarized copies of the following documents:

• Certificate of National Incorporation of a Legal Entity (Founder);
• Instruments of Incorporation (Charter) of a Legal Entity (Founder);
• Certificate of Inclusion of a legal entity (founder)in the Unified National Register of Enterprises and Organizations of Ukraine;
• Certificate of legal entity (founder) registration with fiscal authorities (certificate form 4-ОPP – valid for 30 days from issue).
• Excerpt from the Unified Register of a legal entity (founder) (valid for 30 days from issue);
• decision of the Board of Directors of a legal entity – founder (or another managerial body in line with the instruments of incorporation) on the establishment of a limited liability company (the share of the authorized capital of a limited liability company in UAH and its percentage ratio to the total amount of authorized capital should be specified and a person should be authorized who will represent a founder at the general meeting of founders while signing a charter of a limited liability company and creating authorized capital of a limited liability company);
• a document (minutes, order) on assignment of an executive body of a legal entity (founder) (manager, president etc.), as well as copies of passport and identification number certificate of a legal entity (founder) (manager, president etc.), or another authorized person (according to the notarized Power of Attorney) for the signature of a Charter of a limited liability company, minutes of a general meeting of a limited liability company and the creation of authorized capital of a limited liability company, etc.;
• copy of registration card No. 6 confirming the inclusion in the Unified National Register.

Non-resident legal entity founder should additionally submit an excerpt from the Trade Register (Court Register) duly legalized and notarized according to the procedure established by the legislation of Ukraine currently in effect.

The amount of authorized capital (stock) is:

• for a limited liability company (hereinafter referred to as the LLC) the minimum amount of authorized capital is set to make at least 100 minimum wages. Each LLC participant should contribute a minimum of 50% of their share in authorized capital prior to the incorporation. Authorized capital may be made (created) using money or assets.
• for a joint-stock company (hereinafter referred to as the JSC), where natural persons and (or) legal entities may act as founders, the minimum amount of authorized capital is set to make at least 1,250 minimum wages.
• for a private enterprise no authorized capital amount is provided for by the legislation.
